Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Rotate Inventory websites, applications, and related services (the "Services"). By accessing or using the Services, you agree to these Terms.
1. Eligibility and authority
You must be at least 18 years old and able to form a binding contract. If you use Rotate for a company or other organization, you represent that you have authority to accept these Terms on its behalf.
2. Accounts and security
You must provide accurate account information and keep it current. You are responsible for activity under your account and for maintaining the confidentiality of credentials. Notify us promptly at info@rotate-inventory.com if you suspect unauthorized access.
3. Using Rotate
We grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business operations, subject to these Terms. You may not misuse the Services, interfere with their operation, access them through unauthorized means, probe or bypass security, reverse engineer them except where law permits, use them to violate law or third-party rights, or resell them without our written permission.
4. Your data and responsibilities
You retain ownership of data you submit to Rotate. You grant us the rights necessary to host, process, transmit, and display that data to provide and improve the Services. You are responsible for the accuracy and legality of your data, for configuring integrations and permissions appropriately, and for reviewing changes before approving inventory, order, or fulfillment actions.
5. Connected services
Rotate may interoperate with third-party services such as ecommerce, shipping, and authentication platforms. Your use of those services is governed by their terms. We are not responsible for third-party services, their availability, or changes they make. You authorize Rotate to exchange data with connected services as needed to perform the actions you request.
6. Beta and preview features
Features identified as beta, preview, early access, or experimental may be incomplete, change without notice, or be discontinued. You should evaluate them carefully before relying on them for critical operations.
7. Fees
If you purchase a paid plan, you agree to pay the disclosed fees and applicable taxes. Unless otherwise stated, fees are non-refundable except where required by law. We will provide notice before materially changing recurring plan pricing.
8. Intellectual property
Rotate and its licensors own the Services, including software, designs, branding, and documentation, excluding your data. Feedback you provide may be used without restriction or obligation to you.
9. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay applicable fees, or if continued operation is no longer commercially reasonable. Where practicable, we will provide notice and an opportunity to export your data.
10. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available." We disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Rotate assists with inventory operations but does not replace your judgment, controls, backups, or review of business records.
11. Limitation of liability
To the maximum extent permitted by law, Rotate will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption. Our total liability arising from the Services will not exceed the amount you paid us for the Services during the 12 months before the event giving rise to the claim.
12. Indemnification
You agree to defend and indemnify Rotate from third-party claims arising from your data, your misuse of the Services, or your violation of these Terms or applicable law.
13. Changes to these Terms
We may update these Terms as the Services evolve. We will post the revised Terms and update the effective date. Continued use after the revised Terms take effect constitutes acceptance.
14. General
These Terms and the Privacy Policy are the entire agreement concerning the Services and supersede prior discussions on that subject. If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, acquisition, or asset transfer.
